The Pursuit of Relisting on a Public Exchange
On June 3, 2022, the Board of Directors determined it to be in the best interest of the corporation and its shareholders to forego returning to the OTC markets and, instead, to list directly onto the Nasdaq exchange.
To this end, on June 3, 2022, the company entered into an engagement agreement with a prominent investment bank located in New York, NY to uplist the company to a full Nasdaq listing and act as the exclusive managing underwriter and bookrunner in connection with the proposed initial public offering of the company’s stock. Thereafter, on January 24, 2023, the company and the investment bank expanded the engagement agreement to include a potential de-SPAC transaction.
